1. Agreement to Terms

Welcome to Vidzy (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Vidzy mobile application (the “App”) and all related services. By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.

We may update these Terms from time to time. When we make changes, we will update the “Last Updated” date at the top of this document and may notify you through the App. Your continued use of the App after any changes constitutes your acceptance of the updated Terms.

Please also review our [Privacy Policy](PRIVACY_POLICY.md), which describes how we collect, use, and share information when you use the App.

2. Service Description

Vidzy is an AI-powered creative platform for iOS that enables users to generate videos, images, and template-based visual content using artificial intelligence. The App provides the following core features:

• AI Video Generation: Create videos from text prompts and optional reference images using AI models.
• AI Image Generation: Generate images from text descriptions and optional reference images using AI models.
• Template-Based Generation: Apply pre-designed creative templates (such as “Kiss Effect,” “Hug Moment,” and other visual effect templates) to user-provided photos, including face photos.
• Prompt-Based Creation: Describe your desired content using text prompts of up to 500 characters.
• Gallery and History: Browse, save, and manage your generated content within the App.

The App relies on third-party AI service providers to process generation requests. The quality, accuracy, and content of AI-generated outputs may vary and are subject to the capabilities and policies of those providers.

3. Eligibility

You must be at least 13 years of age to use the App. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the App with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

By using the App, you represent and warrant that you meet these eligibility requirements.

4. Account and Authentication

Vidzy uses anonymous, device-bound authentication. When you first open the App, a unique anonymous account is automatically created for you through Firebase Authentication. This means:

• No login credentials are required. You do not need to provide a name, email address, phone number, or password to use the App.
• Your account is tied to your device. Your anonymous identifier, generated content, credit balance, and subscription status are associated with your device.
• Account recovery is limited. Because accounts are anonymous and device-bound, if you uninstall the App, reset your device, or lose access to your device, your account data — including any remaining credits — may be permanently lost. We cannot recover anonymous accounts.
• One account per device. Each device is associated with a single anonymous account. You may not attempt to create multiple accounts on the same device to circumvent usage limits or credit restrictions.

5. Subscriptions and Credits

5.1 Subscription Tiers

Vidzy offers a credit-based subscription model with the following tiers:

• Weekly Subscription: Provides 500 credits per subscription period.
• Monthly Subscription: Provides 1,000 credits per subscription period.
• Yearly Subscription: Provides 2,500 credits per subscription period.

All subscription pricing is as displayed in the App at the time of purchase. Prices may vary by region and currency and are subject to change. Any price changes will apply to subsequent subscription periods, not to the current active period.

5.2 Credit System

Credits are the currency used within Vidzy to generate content. Each generation action (video, image, or template) consumes a specific number of credits, as displayed in the App at the time of generation.

• Credit Allocation: Credits are allocated to your account at the beginning of each subscription period based on your active subscription tier.
• Credit Consumption: Credits are deducted from your balance when you submit a generation request. Credits are consumed when the request is submitted, regardless of the outcome or quality of the generated content.
• Credit Expiration: Unused credits do not roll over between subscription periods. At the start of each new subscription period, your credit balance is refreshed to the amount associated with your active tier.
• Non-Transferable: Credits cannot be transferred between accounts, devices, or users.
• Non-Refundable: Once credits have been consumed for a generation request, they cannot be refunded or restored, even if the generated content does not meet your expectations.

5.3 Free Credits

Vidzy may offer a limited number of free credits to new users or through promotional offers. Free credits are subject to the same usage terms as subscription credits and may have additional restrictions or expiration conditions as specified at the time they are granted.

6. Auto-Renewal and Cancellation

6.1 Auto-Renewal

All Vidzy subscriptions are billed as auto-renewing subscriptions through Apple’s App Store. By purchasing a subscription, you agree that:

• Your subscription will automatically renew at the end of each billing period (weekly, monthly, or yearly, depending on your selected plan) unless you cancel it before the renewal date.
• Payment will be charged to the Apple ID account associated with your device at confirmation of purchase.
• Your account will be charged for renewal within 24 hours prior to the end of the current billing period at the rate of the selected plan.
• Auto-renewal may be turned off at any time through your Apple ID account settings, but it must be done at least 24 hours before the end of the current billing period to avoid being charged for the next period.

6.2 How to Cancel

You can manage or cancel your subscription at any time through your device’s settings:

1. Open the Settings app on your iPhone or iPad.

2. Tap your Apple ID (your name) at the top.

3. Tap Subscriptions.

4. Select Vidzy from the list of active subscriptions.

5. Tap Cancel Subscription and follow the prompts.

Alternatively, you can manage your subscription through the App Store app by tapping your profile icon and selecting “Subscriptions.”

Cancellation takes effect at the end of the current billing period. You will retain access to your subscription benefits and any remaining credits until the end of that period.

6.3 No Partial Refunds

If you cancel your subscription mid-period, you will not receive a prorated refund for the unused portion of the billing period. Your subscription benefits will continue until the current period expires.

7. Refund Policy

• Consumed Credits: Credits that have been used for content generation are non-refundable. We do not provide refunds or credit restorations for completed generation requests, regardless of the quality of the output.
• Subscription Refunds: All subscription payments are processed through Apple’s App Store. Refund requests for subscription charges must be directed to Apple. We do not have the ability to process subscription refunds directly. To request a refund from Apple, visit [https://reportaproblem.apple.com](https://reportaproblem.apple.com).
• Exceptional Circumstances: If you experience a technical issue that prevents you from receiving generated content despite credits being deducted, please contact us at [email protected]. We will investigate and, at our sole discretion, may restore credits for failed generations caused by system errors on our end.

8. AI-Generated Content

8.1 Nature of AI Output

The content generated through Vidzy is produced by third-party artificial intelligence models and services. You acknowledge and agree that:

• No Guarantee of Quality: AI-generated content may vary in quality, accuracy, and relevance. We do not guarantee that any specific generation will meet your expectations or produce a particular result.
• Content Variation: The same prompt or input may produce different results at different times due to the nature of AI models. Results are not deterministic.
• No Guarantee of Availability: AI generation services may experience downtime, degraded performance, or changes in capability. We do not guarantee uninterrupted availability of any specific generation feature.
• Third-Party Provider Policies: All AI-generated content is subject to the content policies and acceptable use policies of our third-party AI providers. These providers may refuse to process certain requests or filter certain types of content according to their own policies, which are outside our control.
• AI Limitations: AI models may occasionally produce inaccurate, inappropriate, or unexpected content. You should review all generated content before using or sharing it.

8.2 Ownership of AI-Generated Content

• AI-generated content may not be eligible for copyright protection in all jurisdictions. The legal status of ownership of AI-generated works varies by jurisdiction and is an evolving area of law.
• We make no representations or warranties regarding your ownership rights over AI-generated content. We do not claim ownership of content generated through your use of the App.
• You use AI-generated content at your own risk and are solely responsible for how you use, distribute, or publish such content.

9. User-Provided Content

9.1 Your Content

When you use Vidzy, you may provide content to the App, including:

• Images: Photos, pictures, and other image files you upload as reference images or for use with templates.
• Face Photos: Photographs containing human faces that you provide for use with face-based templates (such as “Kiss Effect,” “Hug Moment,” and similar visual effects).
• Text Prompts: Written descriptions and instructions you enter to guide AI generation.

You retain all rights, title, and interest in and to the content you provide to the App. We do not claim ownership of your uploaded content.

9.2 License Grant

By uploading or providing content to the App, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, transmit, and temporarily store your content solely for the purpose of providing the App’s generation services to you. This license includes the right to transmit your content to our third-party AI service providers for processing. This license terminates when you delete your content or your account is terminated.

9.3 Your Responsibilities

You represent and warrant that:

• You own or have all necessary rights, licenses, and permissions to provide the content you upload to the App.
• If you upload photos containing other people’s faces or likenesses, you have obtained their consent for the use of their image in AI-generated content.
• Your uploaded content does not infringe upon, violate, or misappropriate any third party’s intellectual property rights, privacy rights, publicity rights, or any other rights.
• Your uploaded content does not contain illegal, harmful, or objectionable material.

You are solely responsible for the content you provide to the App and any consequences that arise from providing it.

10. Acceptable Use

You agree to use the App in compliance with these Terms, all applicable laws, and the following acceptable use guidelines:

10.1 Prohibited Conduct

You may not use the App to:

• Generate, attempt to generate, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Generate content that exploits, harms, or attempts to exploit or harm minors in any way.
• Generate content that infringes upon the intellectual property rights, privacy rights, or other rights of any third party.
• Generate non-consensual intimate imagery or deepfakes of real individuals.
• Generate content that promotes violence, discrimination, hatred, or terrorism.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity through generated content.

10.2 Technical Restrictions

You may not:

• Exceed or attempt to circumvent the 500-character prompt limit imposed by the App.
• Circumvent, disable, or otherwise interfere with rate limits, credit limits, or any other usage restrictions.
• Use automated systems, bots, scripts, or other non-human means to interact with the App or generate content.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
• Attempt to access, probe, or test the vulnerability of the App’s systems, servers, or networks.
• Interfere with or disrupt the integrity, performance, or availability of the App or its underlying infrastructure.
• Create multiple accounts or use multiple devices to circumvent usage limits.
• Modify, adapt, translate, or create derivative works based on the App.

10.3 Enforcement

We reserve the right to investigate and take appropriate action against any violations of these acceptable use guidelines, including suspending or terminating your access to the App, removing content, and reporting violations to law enforcement authorities.

11. Intellectual Property

11.1 Our Intellectual Property

The Vidzy App, including its design, user interface, graphics, logos, icons, branding, 3D keycap visual design elements, software code, algorithms, and all related intellectual property, is owned by us and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in our intellectual property except the limited right to use the App as described herein.

11.2 Your Intellectual Property

Subject to the license grant in Section 9.2, you retain all rights, title, and interest in the content you provide to the App. We do not acquire any ownership interest in your uploaded content.

11.3 Feedback

If you provide us with feedback, suggestions, or ideas about the App, you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback for any purpose without obligation to you.

12. Third-Party Services

Vidzy relies on several third-party services to operate. By using the App, you acknowledge that your use is also subject to the terms of service and privacy policies of these third-party providers:

12.1 AI Generation Providers

• fal.ai: Provides AI video and image generation services. Your prompts and reference images are transmitted to fal.ai’s servers for processing. Use of fal.ai is subject to fal.ai’s terms of service and acceptable use policies.
• eachlabs: Provides template-based generation services for visual effect templates. Your images (including face photos) are transmitted to eachlabs’ servers for template processing. Use of eachlabs is subject to eachlabs’ terms of service and content policies.

12.2 Infrastructure and Platform Services

• Firebase (Google): Provides anonymous authentication, cloud database (Firestore), cloud storage, remote configuration, analytics, crash reporting (Crashlytics), and cloud functions. Your anonymous user data and generated content metadata are stored on Firebase servers.
• RevenueCat: Manages subscription processing, billing, and entitlement verification. Your subscription status, transaction data, and anonymous identifier are shared with RevenueCat to manage your subscription lifecycle.
• Cloudflare: Provides content delivery, media caching, and image optimization services. Generated content may be cached and delivered through Cloudflare’s global network.

12.3 Third-Party Terms

We do not control and are not responsible for the practices, policies, or actions of these third-party service providers. We encourage you to review the terms of service and privacy policies of each third-party provider. Any issues arising from the use of third-party services are governed by those providers’ respective terms.

13. Disclaimers

THE APP AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES of merchantability, fitness for a particular purpose, and non-infringement.
• WARRANTIES REGARDING AVAILABILITY — We do not warrant that the App will be available at all times, uninterrupted, secure, or error-free.
• WARRANTIES REGARDING AI OUTPUT — We do not warrant the quality, accuracy, completeness, timeliness, or reliability of any AI-generated content. Generated content may contain errors, inaccuracies, or inappropriate material.
• WARRANTIES REGARDING THIRD-PARTY SERVICES — We do not warrant the availability, performance, or policies of any third-party services the App relies upon.
• WARRANTIES REGARDING CREDITS — We do not warrant that credits will always function as expected or that generation services will be available to consume credits at all times.

Your use of the App is at your sole risk. No advice or information, whether oral or written, obtained from us or through the App, shall create any warranty not expressly stated in these Terms.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with your use of or inability to use the App.
• OUR TOTAL AGGREGATE LIABILITY for all claims arising out of or relating to these Terms or your use of the App shall not exceed the total amount you have paid to us through the App in the twelve (12) months immediately preceding the event giving rise to the claim, or fifty US dollars ($50.00), whichever is greater.
• WE SHALL NOT BE LIABLE for any loss of credits, generated content, or account data resulting from device loss, app uninstallation, system errors, or any other cause.
• WE SHALL NOT BE LIABLE for any actions taken by third-party AI providers, including content filtering, service outages, policy changes, or content moderation decisions.

These limitations apply regardless of the legal theory on which the claim is based, whether we have been advised of the possibility of such damages, and even if a limited remedy set forth herein is found to have failed of its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Vidzy, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

• Your use of the App or any content you generate through the App.
• Your violation of these Terms or any applicable law.
• Your violation of any rights of a third party, including intellectual property rights, privacy rights, or publicity rights.
• Any content you provide to the App, including images, face photos, and text prompts.

16. Termination

16.1 Termination by Us

We reserve the right to suspend, restrict, or terminate your access to the App at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or our acceptable use guidelines.
• Fraudulent, abusive, or illegal activity.
• Requests from law enforcement or government agencies.
• Discontinuation or material modification of the App or any part thereof.
• Technical or security issues.

16.2 Termination by You

You may stop using the App at any time. To fully terminate your relationship with us, you should:

1. Cancel any active subscription through your Apple ID settings.

2. Delete the App from your device.

16.3 Effect of Termination

Upon termination of your account:

• Your right to use the App and access its features will immediately cease.
• Any unused credits in your account will be forfeited and are non-refundable.
• We may delete your account data, including generated content, in accordance with our data retention practices described in our Privacy Policy.
• Provisions of these Terms that by their nature should survive termination will survive, including Sections 8 (AI-Generated Content), 11 (Intellectual Property), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), and 18 (Governing Law).

17. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the “Last Updated” date at the top of these Terms.
• Make the updated Terms available within the App.
• Where practicable, provide notice through an in-app notification or App Store update notes.

Your continued use of the App after any changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the App and cancel any active subscription.

We encourage you to review these Terms periodically to stay informed of any updates.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions.

18.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the App shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the competent courts of Istanbul, Turkey.

18.3 Class Action Waiver

To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vidzy regarding your use of the App and supersede all prior agreements, understandings, and communications, whether written or oral.

19.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

19.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.

19.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet or infrastructure failures, or third-party service outages.

19.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Nothing in these Terms is intended to confer any rights or remedies on any person other than the parties to these Terms.
